These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and Daftarly ("Company", "we", "us", "our") governing your access to and use of the Daftarly platform, including all websites, mobile applications, APIs, and related services (collectively, the "Service").

By registering for an account, clicking "I agree," accessing any feature of the Service, or otherwise using the platform, you represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into binding contracts under applicable law;
• If acting on behalf of a business entity, you have the full legal authority to bind that entity to these Terms;
• Your use of the Service does not violate any applicable law, regulation, or obligation to any third party;
• All information you provide is accurate, complete, and current.

If you do not meet these requirements or do not agree to these Terms, you are expressly prohibited from using the Service and must cease access immediately.

Daftarly provides a cloud-based financial management platform featuring, without limitation: invoice and bill management, expense tracking, project-based accounting, AI-powered financial insights, automated reminders, and reporting tools.

We reserve the right at any time, without notice or liability, to:

• Modify, suspend, or discontinue any feature or aspect of the Service;
• Impose limits on certain features or restrict access to parts of the Service;
• Introduce new features, which may be subject to additional terms or charges;
• Update, patch, or alter underlying algorithms, AI models, or infrastructure.

Access to the Service requires registration of a user account. You are solely and fully responsible for:

• Maintaining the strict confidentiality of your login credentials;
• All activity conducted through your account, whether or not authorized by you;
• Any breach of security or unauthorized access that you fail to promptly report to us;
• Ensuring that any persons using your account comply with these Terms in full.

You must notify us immediately at security@daftarly.com upon becoming aware of any unauthorized use of your account.

You expressly acknowledge and agree that:

• AI-generated outputs may be incomplete, inaccurate, outdated, or inapplicable to your specific circumstances;
• Daftarly makes no representations or warranties regarding the accuracy, reliability, completeness, or fitness for any particular purpose;
• You are solely responsible for independently verifying any AI-generated outputs;
• Any action you take based on AI-generated insights is taken entirely at your own risk;
• Daftarly shall have no liability whatsoever for any loss arising from your reliance on AI-generated content.

We strongly recommend consulting a licensed accountant, tax advisor, or financial professional before making significant financial decisions.

Daftarly operates on a freemium model. A free tier is available with access to a defined subset of features.

Free Tier

• The free tier is provided "as-is" with no commitment to maintain any specific feature set;
• We reserve the right to modify, limit, or discontinue free tier features at any time;
• Free tier users have no entitlement to priority support or service level guarantees.

Paid Plans

• Paid plans are activated upon successful payment;
• All fees are stated exclusive of any applicable taxes;
• We reserve the right to change pricing with at least 30 days advance notice.

Billing

• Paid subscriptions are billed in advance on a recurring basis;
• You authorize us to charge the applicable fees automatically on each renewal date;
• It is your responsibility to ensure your payment information is current and accurate.

Cancellation

• You may cancel your subscription at any time through your account settings;
• Cancellation takes effect at the end of the current billing period.

Refund Policy

All fees paid are non-refundable except where expressly required by applicable consumer protection law. Refund requests must be submitted within 7 calendar days of the charge.

The Service is provided for lawful personal and business financial management purposes only.

• Commit financial fraud of any kind;
• Facilitate money laundering or terrorism financing;
• Evade taxes or assist others in doing so;
• Impersonate any person or entity;
• Conduct unauthorized access or penetration testing;
• Introduce any malware or malicious code;
• Resell or commercially exploit the Service without written consent.

You retain ownership of all financial data you input into the Service ("User Data"). By using the Service, you grant Daftarly a limited license to store, process, and use your User Data solely for providing and improving the Service.

• We do not sell or commercially exploit your User Data;
• AI features process your data within your account environment;
• You are responsible for the accuracy and legality of all data you submit.

While we implement industry-standard security measures, no system is completely secure.

All intellectual property rights in the Service are the exclusive property of Daftarly. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose.

• You may not copy, reproduce, modify, distribute, or create derivative works;
• You may not reverse engineer or decompile any component;
• Any feedback you provide may be used by us freely.

Daftarly expressly disclaims all warranties, including:

• Any implied warranty of merchantability or fitness for a particular purpose;
• Any warranty that the Service will be uninterrupted or error-free;
• Any warranty regarding accuracy or reliability of AI-generated output.

Maximum liability cap: Daftarly's total aggregate liability shall not exceed the greater of: (a) fees paid in the three (3) months preceding the claim, or (b) USD $50.

Daftarly shall not be liable for:

• Loss of profits, revenue, data, or goodwill;
• Any indirect, incidental, or consequential damages;
• Losses from reliance on AI-generated content;
• Losses from unauthorized account access;
• Any force majeure events.

You agree to defend, indemnify, and hold harmless Daftarly from any claims arising from:

• Your access to or use of the Service;
• Your violation of these Terms or any applicable law;
• Any User Data you submit;
• Any financial fraud or illegal activity through your account;
• Your negligence or wilful misconduct.

This indemnification obligation survives termination of your account.

Our Rights

We may immediately suspend or terminate your access if:

• You breach any provision of these Terms;
• We suspect fraudulent or illegal activity;
• Your use poses a risk to the platform or other users;
• You fail to pay applicable fees;
• We are required to do so by law.

Your Right to Terminate

You may delete your account at any time via your account settings. Deletion requests are processed within 30 days.

Nothing in these Terms shall limit rights under mandatory consumer protection laws. For users in Egypt, the Egyptian Consumer Protection Law (Law No. 181 of 2018) is acknowledged. For GCC users, relevant local regulations apply.

We may modify these Terms at any time:

• Material changes: minimum 14 days' advance notice via email;
• Minor changes: updated "Last Updated" date.

Continued use after changes take effect constitutes acceptance.

These Terms are governed by the laws of the Arab Republic of Egypt. Disputes shall be subject to the courts of Cairo, Egypt.

Dispute Resolution Process

• Step 1: Contact us at legal@daftarly.com to resolve informally within 30 days;
• Step 2: Attempt mediation;
• Step 3: Litigation in Cairo courts.

Claims must be brought within one (1) year of the cause of action.

• Entire Agreement: These Terms constitute the entire agreement;
• Severability: Invalid provisions are modified to minimum extent necessary;
• No Waiver: Failure to enforce does not waive rights;
• No Assignment: You may not assign without written consent;
• Force Majeure: Not liable for events beyond reasonable control;
• Language: English version prevails in case of conflict.
